Accredited Investor Requirement

Investments in Delaware Statutory Trusts (DSTs) are available only to "accredited investors" as defined under Rule 501 of Regulation D of the Securities Act of 1933. Generally, this requires:

  • Annual income exceeding $200,000 ($300,000 jointly with spouse) for the past two years with reasonable expectation of the same in the current year, OR

  • Net worth exceeding $1,000,000, excluding primary residence

Risk Factors

An investment in a Delaware Statutory Trust involves substantial risks. Investors should carefully review the Private Placement Memorandum (PPM) for a complete description of all risks. Key risks include, but are not limited to:

Illiquidity Risk: DST interests are illiquid investments with no public trading market. Investors should expect to hold their investment for the full projected hold period (typically 5-7 years). There is no guarantee that an investor will be able to sell or transfer their interest.

Single Tenant Risk: DST properties are typically leased to a single tenant. If the tenant defaults or vacates, there will be no rental income until a replacement tenant is found.

Real Estate Risk: Real estate values can decline due to economic conditions, market changes, environmental issues, natural disasters, or other factors beyond the sponsor's control.

Leverage Risk: DST properties typically utilize mortgage financing. Leverage magnifies both gains and losses. If the property cannot service its debt, foreclosure may result in total loss of investor capital.

No Control: DST investors are passive and have no voting rights or ability to participate in management decisions. The trustee makes all decisions regarding the property.

Tax Risk: Tax laws may change. The anticipated tax benefits of 1031 exchanges and DST investments are based on current law and IRS interpretations, which are subject to change.

Distribution Risk: Distributions are not guaranteed and depend on property income, expenses, and debt service. Distributions may be reduced or eliminated.

Loss of Principal: Investors may lose some or all of their invested capital. Past performance does not guarantee future results.

1031 Exchange Disclosure

1031 exchange rules are complex. The 45-day identification period and 180-day exchange period are strict deadlines that cannot be extended.
