Agreement to Terms

Welcome to the website of Medalist Diversified REIT, Inc. ("Medalist," "we," "us," or "our"). By accessing or using our website at www.medalistreit.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Use of the Site

Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. The Site is intended to provide general information about Medalist Diversified REIT and our Delaware Statutory Trust (DST) investment offerings.

Interfere with or disrupt the Site or servers or networks connected to the Site
Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful
Attempt to probe, scan, or test the vulnerability of the Site or any related system or network
Impersonate or attempt to impersonate Medalist, a Medalist employee, another user, or any other person or entity
Use the Site in any manner that could disable, overburden, damage, or impair the Site
Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site, except as permitted by these Terms
Remove any copyright, trademark, or other proprietary notices from any content on the Site

Not an Offer to Sell Securities

Informational Purposes Only

The information on this Site is for general informational purposes only. Nothing on this Site constitutes an offer to sell or a solicitation of an offer to buy any security, including interests in any Delaware Statutory Trust sponsored by Medalist.

Offers Made Only by PPM

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use only. This license does not include:

Any resale or commercial use of the Site or its contents
Any collection and use of any product listings, descriptions, or prices
Any derivative use of the Site or its contents
Any downloading or copying of account information for the benefit of another party
Any use of data mining, robots, or similar data gathering and extraction tools

Trademarks

"Medalist," "Medalist Diversified REIT," the Medalist logo, "MDRR," and all related names, logos, product and service names, designs, and slogans are trademarks of Medalist or its affiliates. You may not use such marks without our prior written permission.

All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

User Content

Submissions

If you submit any information, materials, or other content to us through the Site (collectively, "User Content"), you grant Medalist a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that:

You own or control all rights to the User Content
The User Content is accurate
The User Content does not violate these Terms or any applicable law
The User Content will not cause injury to any person or entity

Monitoring

We have no obligation to monitor User Content. However, we reserve the right to review, edit, or delete any User Content at our sole discretion.

The Site may contain links to third-party websites, services, or content that are not owned or controlled by Medalist. These links are provided for your convenience only.

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES PROVIDED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDALIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MEDALIST, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
ANY DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE
ANY DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MEDALIST HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL MEDALIST'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Medalist, its affiliates, directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your use of the Site
Your User Content
Your violation of any third-party rights, including intellectual property rights
Any claim that your User Content caused damage to a third party

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law provision.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Virginia, in each case located in Richmond, Virginia. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration Agreement

At Medalist's sole discretion, we may require you to submit any disputes arising from these Terms or use of the Site to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association, applying Virginia law.

Waiver and Severability

Waiver

No waiver by Medalist of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Medalist to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Disclosures, constitute the sole and entire agreement between you and Medalist regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
